Terms of Service
1. Acceptance of These Terms
These Terms of Service ("Terms") are a binding agreement between you and GrahamTerminal LLC ("GrahamTerminal," "we," "us") governing your access to and use of grahamterminal.com, its subdomains, APIs, and related services (together, the "Service"). By accessing or using the Service, or by creating an account, you agree to these Terms and to our Privacy Policy and Financial Disclaimer, which are incorporated by reference. If you do not agree, do not use the Service.
2. The Service
Graham Terminal provides market data, financial information, charts, screeners, quantitative scores, valuation models, simulated ("paper") trading, and related informational tools. The Service is provided for personal, informational, and educational purposes only.
3. Eligibility and Accounts
You must be at least 18 years old to use the Service. Certain features require an account. You agree to provide accurate registration information, keep your credentials secure, and accept responsibility for all activity under your account. We may suspend or terminate accounts that violate these Terms.
4. Not Investment Advice
Nothing on the Service constitutes investment, financial, legal, accounting, or tax advice, or a recommendation, offer, or solicitation to buy or sell any security or other financial instrument. GrahamTerminal LLC is not a registered investment adviser, broker-dealer, or exchange. See the Financial Disclaimer, which forms part of these Terms.
5. Market Data and Third-Party Content
- Market data, fundamentals, news, and other content on the Service are obtained from third-party sources. Data may be delayed, estimated, modeled, incomplete, or inaccurate, and is provided strictly "as is" and "as available."
- We grant you a limited, revocable, non-exclusive, non-transferable license to view the data and content within the Service for personal, non-commercial use.
- You may not redistribute, republish, resell, sublicense, or systematically extract the data or content, or use it to build or populate any other product, dataset, or service.
- Our third-party data providers are intended beneficiaries of this Section: they disclaim all warranties with respect to the data, have no liability to you, and may enforce these restrictions directly.
6. Paper Trading and Simulated Features
Paper-trading portfolios, system strategy portfolios, leaderboards, scores, and model valuations are simulations and mathematical computations. They do not involve real money, real orders, or real execution, and their results do not represent — and systematically differ from — results that could have been achieved in live markets. 7. Acceptable Use
You agree not to:
- scrape, crawl, harvest, or bulk-download data from the Service, or access it by any automated means other than interfaces we expressly provide;
- probe, disrupt, overload, or interfere with the Service or its security features;
- reverse-engineer or copy the Service or its scores, models, or design;
- impersonate others, misrepresent your affiliation, or use another user's account;
- use the Service in violation of any applicable law or regulation.
8. Intellectual Property
The Service — including its software, design, text, graphics, logos, scores, and models — is owned by GrahamTerminal LLC or its licensors and protected by intellectual-property laws. Except for the limited license in Section 5, no rights are granted to you. Names you assign to portfolios and similar content you submit remain yours; you grant us a license to host and display them as needed to operate the Service (including, where you opt in, on public leaderboards and shared pages).
9. Fees and Subscriptions
The Service is currently offered free of charge. If we introduce paid features: pricing will be disclosed before you pay; paid subscriptions will renew automatically until canceled; you may cancel at any time effective at the end of the then-current billing period; and we will provide advance notice of price changes, which apply only from your next renewal. Except where required by law, fees are non-refundable.
10. Third-Party Services
The Service uses third-party services (for example, authentication and hosting providers) and may link to external sites and content, including social-media posts and video streams. We do not control and are not responsible for third-party services or content.
11. Termination
You may stop using the Service or delete your account at any time. We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you have violated these Terms, or if we discontinue the Service. Sections 4–5 and 8–17 survive termination.
12. Disclaimer of Warranties
THE SERVICE AND ALL DATA AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TIMELINESS, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) GRAHAMTERMINAL LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, AND DATA PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, TRADING LOSSES, INVESTMENT LOSSES, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING FROM OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY; AND (b) OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
14. Indemnification
You agree to indemnify and hold harmless GrahamTerminal LLC and its members, officers, employees, and agents from claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms or applicable law.
15. Dispute Resolution — Binding Arbitration and Class-Action Waiver
Please read this section carefully — it affects your rights.
- Informal resolution first. Before filing a claim, you agree to contact us at legal@grahamterminal.com and allow 30 days to attempt informal resolution.
- Arbitration. Any dispute arising out of or relating to these Terms or the Service that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small-claims court.
- Class-action waiver. Disputes will be arbitrated only on an individual basis. Neither party may participate in a class, consolidated, or representative action.
- Opt-out. You may opt out of this arbitration agreement by emailing legal@grahamterminal.com within 30 days of first accepting these Terms, stating your name and that you opt out of arbitration.
16. Changes to These Terms
We may update these Terms from time to time. Material changes will be announced on the Service or by email, with the new effective date shown above. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
17. Governing Law and Miscellaneous
These Terms are governed by the laws of the state in which GrahamTerminal LLC is organized, without regard to conflict-of-laws principles, and by the Federal Arbitration Act with respect to Section 15. If any provision is found unenforceable, the remainder stays in effect. These Terms, the Privacy Policy, and the Financial Disclaimer are the entire agreement between you and us regarding the Service. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
